Please read these Terms carefully. By accessing or using Easy Split, you agree to these Terms. If you do not agree, do not use the Services.
1. Who We Are
Easy Split is provided by Organik, Inc., a Delaware corporation ("Organik," "Easy Split," "we," "us," or "our"). You may contact us at ceo@organik.express.
Easy Split provides software infrastructure for commerce, bounded payment authorization, and transaction execution used by Agents, connected businesses, and users.
2. The Service
Easy Split is not an Agent. Easy Split is the authorization, execution, routing, and settlement protocol that Agents use to request and complete transactions on behalf of users, subject to the limits those users set.
Easy Split allows users and businesses to create and manage commerce experiences, including:
- Stores and public commerce pages;
- payment links and checkout experiences;
- connected business accounts;
- Split Mandates authorizing Agents to request transactions;
- Execution Requests submitted by Agents;
- Merchant Quotes;
- payment routing and transaction instructions;
- transaction metadata;
- participant and destination configurations; and
- related commerce and payment tools.
We may add, modify, restrict, suspend, or discontinue features at any time.
Easy Split is a technology platform. Certain payment and financial services are provided by Stripe or another supported payment provider.
3. Accounts and Eligibility
You must be legally capable of entering into these Terms and must use Easy Split in compliance with applicable laws.
You are responsible for:
- providing accurate and complete information;
- maintaining control of your account, devices, credentials, and recovery methods;
- maintaining the security of connected third-party accounts;
- activity performed through your account;
- activity performed through Stores or Split Mandates you create or authorize; and
- maintaining accurate payment, business, tax, and identity information.
We may require identity, business, ownership, banking, or other verification information before enabling some features.
4. Stores
Easy Split Stores allow individuals, businesses, teams, and organizations to create public or shareable commerce pages.
Unless otherwise disclosed at checkout, the business, merchant, seller, or service provider associated with a Store is responsible for the products or services it offers, including:
- product and service descriptions;
- pricing;
- availability;
- fulfillment;
- shipping or delivery;
- cancellations;
- refunds;
- customer support;
- taxes;
- licenses and regulatory obligations; and
- compliance with applicable consumer-protection laws.
You represent that you have all rights necessary to publish any content, products, services, trademarks, images, information, and other materials you make available through a Store.
Store Fees
Standard Easy Split Stores currently have a 0% Easy Split platform fee for standard Store transactions.
Third-party costs may still apply, including payment-processing fees, banking fees, taxes, currency-conversion costs, or fees charged by external services.
We do not promise that Store transactions will always remain free of an Easy Split fee. We may introduce optional paid features or modify pricing in the future. Any applicable Easy Split fee will be disclosed before it applies.
5. Third-Party Agents
An Agent is software that may discover products or services, compare options, obtain or negotiate merchant quotes, recommend transactions, and submit Execution Requests to Easy Split. Agents may include Aura, Claude, OpenAI-based agents, merchant agents, custom software agents, or other compatible systems.
A Third-Party Agent is an Agent that is not operated, controlled, or developed by Organik. Third-party Agents are independent software systems built and operated by their respective providers.
Agents may:
- discover products or services;
- communicate with merchants;
- obtain or negotiate quotes;
- compare offers;
- recommend transactions; and
- submit Execution Requests to Easy Split.
Easy Split does not guarantee the quality, accuracy, reasoning, recommendations, negotiations, or behavior of any Third-Party Agent. Use of a Third-Party Agent may be subject to separate terms between you and that Agent's provider. Organik is not responsible for Claude, OpenAI, or any other Third-Party Agent merely because that Agent uses the Easy Split protocol.
Agents do not receive unrestricted payment credentials or direct access to your card or bank credentials through Easy Split. Easy Split controls payment authorization and transaction execution at all times.
6. Split Mandates
A Split Mandate is a limited authorization created by a user that allows an Agent to request transactions within defined conditions. A Mandate may include:
- maximum total spend;
- maximum merchant spend;
- currency;
- expiration;
- permitted merchant or merchant category;
- permitted products or services;
- number of transactions;
- geographic restrictions;
- purpose or intent;
- approval requirements;
- Agent identity; and
- other configurable limits.
A Split Mandate is not a bank account, is not stored value, and is not a transfer of ownership of your funds to an Agent. A Mandate is a bounded permission to request transaction execution. Easy Split determines whether a requested transaction complies with the Mandate before executing it, and transactions outside the Mandate must be rejected or require additional authorization.
7. Execution Boundary
The protocol boundary is simple: the Agent discovers and requests; Easy Split authorizes and executes.
An Agent may submit a Merchant Quote or Execution Request, but Easy Split must validate, among other things, that:
- the Mandate is active;
- the Mandate has not expired;
- the Agent is permitted;
- the merchant is permitted;
- the amount is within the remaining authorized amount;
- applicable fees fit within the authorization;
- transaction-count limits are respected;
- the request has not already been executed; and
- any required merchant quote remains valid.
Easy Split may reject execution for compliance, fraud, risk, technical, payment-provider, or authorization reasons.
8. Merchant Quotes
A Merchant Quote is pricing or transaction information provided by a merchant or compatible service, which may include merchant identity, price, currency, product or service identifier, taxes, delivery or fulfillment information, expiration, and a quote identifier.
Quotes may expire or change. Easy Split does not guarantee that a quoted product or service remains available until execution succeeds. Where supported, a Merchant Quote may be cryptographically signed or otherwise authenticated, but cryptographic signing is not mandatory for all transactions.
9. Protocol Fee
Easy Split may charge a fee for executing eligible transactions (the "Protocol Fee" or "Execution Fee"). Unless a different amount is disclosed before authorization, the default Protocol Fee is 9% of the applicable transaction amount.
The Protocol Fee may be paid by the user, the merchant, a partner, the Agent provider, a sponsor, or any combination of these parties. The applicable fee allocation will be disclosed as part of the transaction or authorization flow where required.
The Protocol Fee applies to transactions executed through the Easy Split protocol. Easy Split cannot and does not claim fees on transactions that occur entirely outside the Easy Split protocol. If an Agent merely recommends a merchant or sends a user elsewhere to purchase directly, no Easy Split execution fee is owed unless otherwise agreed.
The Protocol Fee compensates Easy Split for providing software infrastructure, authorization, execution, payment orchestration, transaction routing, platform services, and related functionality, and is separate from fees that may be charged by Stripe or another payment provider, merchants, financial institutions, card networks, currency-conversion providers, marketplaces, delivery providers, third-party APIs, or other services participating in the transaction.
We may offer different pricing, promotional pricing, enterprise agreements, subscriptions, negotiated fees, sponsored pricing, or other fee structures.
10. Budget Model
Where the interface identifies a user's maximum authorized amount as an all-in spending cap, that amount is treated as the total the user is willing to spend, inclusive of the applicable Protocol Fee.
For example, if a user authorizes a maximum total spend of $100 and the default Protocol Fee is 9% of merchant spend, Easy Split may reserve capacity for the fee and expose a lower maximum merchant-spend amount to the Agent — in this example, approximately $91.74 in merchant spend and approximately $8.26 in Protocol Fee, so that the total does not exceed $100.
This is one illustrative example, not the only possible fee calculation method. Easy Split may calculate fees based on the actual executed transaction amount, the authorized amount, a fixed fee, a percentage fee, negotiated pricing, promotional pricing, enterprise pricing, sponsored pricing, or another fee structure disclosed before execution.
11. Unused Authorization
Unused authorization is not automatically charged. If a user authorizes up to $100 and an Agent executes a $50 purchase, Easy Split will generally only capture or settle amounts related to the successful transaction and applicable fees.
Unused authorization may expire, be released, or remain available for additional permitted transactions depending on the Mandate configuration and payment method. An authorized limit is not an account balance belonging to the user.
12. Multiple Transactions
One Split Mandate may authorize multiple transactions. For example, a travel Agent might execute a flight, a hotel, transportation, insurance, and activities under a single Mandate.
Some transactions may succeed while others fail. Failure of one transaction does not necessarily cancel, refund, or reverse previously completed transactions. The total amount successfully executed, plus applicable Easy Split fees, must remain within the Mandate's applicable spending limits.
13. Connected Merchants
A merchant or service provider may need to become a connected account in order to receive funds through Easy Split. This may require establishing or connecting an account with Stripe or another supported payment provider.
By connecting a payment account to Easy Split, you authorize Easy Split to perform activities reasonably necessary to provide the Services, which may include:
- onboarding connected businesses and obtaining required verification information;
- creating or configuring payment transactions;
- calculating Protocol Fees;
- creating transfers and routing settlement;
- requesting payouts;
- performing reversals where permitted;
- handling refunds or disputes;
- deducting amounts owed where permitted; and
- communicating with Stripe or another supported payment provider on behalf of the connected account as necessary to provide the Services.
We do not promise immediate payouts. Payouts and transfers may be subject to verification, reserves, payout delays, fraud review, payment-provider restrictions, chargebacks, disputes, and negative balances.
Your use of Stripe or another supported payment provider's services is also subject to the agreements, requirements, policies, and verification procedures imposed by that provider, which may independently require identity verification, business verification, beneficial-owner information, bank information, underwriting, reserves, restrictions, or other compliance measures.
14. Payments and Payment Rails
Payment processing is provided by Stripe or another supported payment provider. Stripe is the initial and primary infrastructure provider, but Easy Split may support other payment providers or financial infrastructure in the future.
Depending on the transaction structure — which may use direct charges, destination charges, separate charges and transfers, or future payment rails — the merchant of record, settlement merchant, seller, or payment recipient may be Organik, a connected business, or another party, and will be identified where required.
Organik is not a bank, depository institution, or escrow service. We do not guarantee that a payment will be authorized, captured, settled, transferred, paid out, refunded, reversed, successfully split, completed by a particular time, or free from fraud, dispute, chargeback, error, or third-party review.
Payment providers may impose their own restrictions, fees, reserves, holds, verification requirements, payout schedules, or transaction limits.
15. Transfers and Payouts
Balances displayed within Easy Split may represent transaction or payment-provider information and do not constitute a bank deposit.
Transfers and payouts may be delayed by payment settlement periods, payment-provider reviews, identity verification, compliance reviews, fraud or risk investigations, reserves or holds, banking schedules, weekends or holidays, disputes, chargebacks, technical issues, or applicable law. Estimated payout or settlement times are not guarantees.
16. Refunds, Reversals and Chargebacks
Refunds, disputes, reversals, and chargebacks may affect funds associated with a Store, Split Mandate, merchant, connected account, participant, or transaction.
Where permitted by the applicable payment structure and law, Easy Split may reverse or adjust transfers, deduct amounts from available balances or future transactions, offset amounts owed, delay future transfers or payouts, recover amounts associated with refunds, disputes, fraud, errors, or chargebacks, or take other reasonable action necessary to reconcile a transaction.
Merchants remain responsible for their obligations to customers relating to the goods and services they provide unless expressly stated otherwise.
17. Taxes and Compliance
You are responsible for determining and satisfying tax, reporting, licensing, regulatory, and compliance obligations applicable to your activities, including sales taxes, VAT or similar transaction taxes, income taxes, business registrations, licenses, invoices, consumer disclosures, refund requirements, sanctions, export controls, anti-money-laundering requirements, industry-specific regulation, and reporting obligations.
Easy Split's protocol structure does not eliminate or replace any regulatory obligation applicable to you. Easy Split does not provide legal, tax, investment, accounting, or financial advice.
18. Prohibited Activity
You may not use Easy Split for unlawful, deceptive, abusive, harmful, infringing, or unauthorized activity, including fraud, impersonation, theft, unauthorized payment activity, money laundering, sanctions violations, evasion of financial or payment-provider rules, malware, spam, harassment, illegal goods or services, prohibited weapons, controlled substances, exploitative content, illegal gambling, activity involving stolen financial information, unauthorized financial services, or activity prohibited by Stripe, applicable payment networks, platform policies, or applicable law.
We may restrict categories, merchants, Agents, transactions, countries, payment methods, or accounts at our discretion when necessary for legal, compliance, security, payment-provider, or risk reasons.
19. User Content
You retain ownership of content you submit to Easy Split. You grant Organik a worldwide, non-exclusive license to host, reproduce, process, display, transmit, and otherwise use that content as reasonably necessary to operate, secure, improve, and provide the Services.
You represent that you have the rights required to provide that content and that its use through Easy Split does not violate law or third-party rights.
20. Third-Party Services
Easy Split may interact with third-party services, including payment providers, merchants, marketplaces, APIs, Third-Party Agents, cloud infrastructure, analytics providers, identity providers, operating-system services, browsers, and device features.
We do not control third-party services and are not responsible for their availability, pricing, products, actions, omissions, security, policies, decisions, accuracy, performance, or content. Use of a third-party service may be subject to separate terms between you and that provider.
21. Intellectual Property
Organik and its licensors own Easy Split, including its software, protocol design, trademarks, logos, documentation, systems, interfaces, and other proprietary materials.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use Easy Split for its intended purposes. No rights are granted except those expressly stated in these Terms.
22. Privacy and Security
Our Privacy Policy explains how we collect, use, and disclose information. We use reasonable administrative, technical, and organizational safeguards, but no internet or payment system can be guaranteed to be completely secure.
Easy Split uses technical mechanisms intended to guard against replayed execution requests, duplicate execution attempts, expired Mandates, unauthorized Agents, modified merchant quotes, mismatched merchant identity, and spending above permitted limits. These mechanisms may include transaction identifiers, signatures, tokens, nonces, authentication checks, or other controls, and may change over time as our systems evolve.
You are responsible for protecting your devices, account credentials, recovery methods, API credentials, payment credentials, third-party accounts, and Split Mandate permissions. If you believe your account, Mandate, or an Agent acting on your behalf has been compromised, you should revoke the relevant Mandate and contact us promptly.
23. Authorization and Liability
When an Agent submits an Execution Request that falls within an active Split Mandate, Easy Split may rely on that Mandate as evidence of your authorization. Organik nonetheless retains the right to require additional confirmation at any time.
You are responsible for configuring appropriate limits, reviewing Mandate permissions, selecting or trusting Third-Party Agents, revoking Mandates that are no longer needed, and protecting your authentication credentials.
Easy Split is responsible only for executing requests according to the protocol and its own systems, subject to the limitations in these Terms. Easy Split does not guarantee that any Agent will achieve your intended outcome.
24. Suspension and Termination
We may suspend, restrict, limit, or terminate access to all or part of Easy Split when we reasonably believe doing so is necessary because of violation of these Terms, suspected fraud, security risk, payment risk, regulatory requirements, third-party provider requirements, sanctions, harmful activity, excessive disputes or chargebacks, inaccurate verification information, or operational or technical necessity.
You may stop using Easy Split at any time. Termination does not eliminate obligations relating to transactions, fees, refunds, disputes, chargebacks, taxes, or amounts incurred before termination.
25. Changes to the Service
Easy Split is an evolving product. Features, Mandate capabilities, integrations, pricing, APIs, payment flows, limits, and functionality may change over time. We may release experimental, preview, beta, or early-access features, which may be modified or discontinued and may contain errors or limitations.
26. Disclaimers
Easy Split is provided "as is" and "as available." To the maximum extent permitted by applicable law, Organik disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, uninterrupted operation, security, and error-free performance.
We do not guarantee any particular commercial, financial, legal, tax, accounting, operational, or Agent-generated outcome.
27. Limitation of Liability
To the maximum extent permitted by applicable law, Organik, Inc. and its directors, officers, employees, contractors, agents, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, revenue, business, or opportunity.
To the maximum extent permitted by law, our aggregate liability for claims arising from or relating to Easy Split will not exceed the greater of US $100, or the amount you paid directly to Organik for Easy Split during the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded.
28. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Organik, Inc. and its directors, officers, employees, contractors, agents, affiliates, and licensors from claims, liabilities, damages, losses, costs, and expenses arising from or relating to your use of Easy Split; your Store; your Split Mandates; permissions you grant to an Agent; your products or services; transactions you authorize; your customers; your content; your taxes; your disputes; your connected payment account; your violation of these Terms; your violation of applicable law; or your violation of third-party rights or rules.
29. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any mandatory rights available to consumers under applicable law remain unaffected where they cannot legally be waived.
30. Changes to These Terms
We may update these Terms periodically. When we make changes, we will post the revised Terms and update the effective date. Where legally required, we will provide additional notice. Continued use of Easy Split after revised Terms become effective constitutes acceptance of the updated Terms.
