Please read these Terms carefully. By accessing or using Easy Split, you agree to these Terms. If you do not agree, do not use the Services.
1. Who We Are
Easy Split is provided by Organik, Inc., a Delaware corporation ("Organik," "Easy Split," "we," "us," or "our"). You may contact us at ceo@organik.express.
Easy Split provides software infrastructure for commerce, payment workflows, connected businesses, and programmable Agents.
2. The Service
Easy Split allows users and businesses to create and manage commerce experiences, including:
- Stores and public commerce pages;
- payment links and checkout experiences;
- connected business accounts;
- programmable Agents;
- Agentic Payment workflows;
- payment routing and transaction instructions;
- transaction metadata;
- participant and destination configurations; and
- related commerce and payment tools.
We may add, modify, restrict, suspend, or discontinue features at any time.
Easy Split is a technology platform. Certain payment and financial services are provided by third-party payment providers such as Stripe.
3. Accounts and Eligibility
You must be legally capable of entering into these Terms and must use Easy Split in compliance with applicable laws.
You are responsible for:
- providing accurate and complete information;
- maintaining control of your account, devices, credentials, and recovery methods;
- maintaining the security of connected third-party accounts;
- activity performed through your account;
- activity performed through Stores or Agents you create or authorize; and
- maintaining accurate payment, business, tax, and identity information.
We may require identity, business, ownership, banking, or other verification information before enabling some features.
4. Stores
Easy Split Stores allow individuals, businesses, teams, and organizations to create public or shareable commerce pages.
Unless otherwise disclosed at checkout, the business, merchant, seller, or service provider associated with a Store is responsible for the products or services it offers, including:
- product and service descriptions;
- pricing;
- availability;
- fulfillment;
- shipping or delivery;
- cancellations;
- refunds;
- customer support;
- taxes;
- licenses and regulatory obligations; and
- compliance with applicable consumer-protection laws.
You represent that you have all rights necessary to publish any content, products, services, trademarks, images, information, and other materials you make available through a Store.
Store Fees
Easy Split currently charges no Easy Split platform fee for standard Store transactions.
Third-party costs may still apply, including payment-processing fees, banking fees, taxes, currency-conversion costs, or fees charged by external services.
We may introduce optional paid features or modify pricing in the future. Any applicable Easy Split fee will be disclosed before it applies.
5. Agents
Easy Split Agents are software configurations capable of assisting with commerce and payment workflows.
Depending on their configuration and the features available, Agents may help:
- identify products or services;
- prepare transactions;
- coordinate purchases;
- route payment instructions;
- divide an authorized amount among multiple destinations;
- interact with participating merchants or service providers;
- apply user-defined budgets or rules;
- maintain transaction metadata;
- calculate allocations;
- initiate permitted transaction steps; or
- perform other automated commerce actions.
An Agent is software. An Agent is not an independent legal person, bank, financial adviser, fiduciary, escrow provider, licensed broker, or independent merchant merely because it performs an automated action.
6. Agent Authorization
You may authorize an Agent to perform actions on your behalf.
Authorization may include limits such as:
- a maximum budget;
- permitted merchants;
- permitted categories;
- payment limits;
- time limits;
- transaction rules;
- approval requirements;
- destinations;
- participants; or
- other conditions.
When an Agent performs an action within permissions that you have granted, that action may be treated as an instruction initiated or authorized by you.
You are responsible for reviewing the permissions you grant to an Agent and for maintaining appropriate authorization limits.
You should not authorize an Agent to spend funds or initiate transactions beyond amounts or activities you are willing and legally permitted to approve.
7. Agentic Payments
An Agentic Payment is a transaction or collection of related transactions in which an Agent assists in preparing, coordinating, initiating, routing, or executing commerce activity under a user's authorization.
For example, one approved budget may result in payments or transfers relating to multiple merchants, products, services, or participants.
An Agentic Payment may involve:
- one authorization and multiple transactions;
- one charge followed by multiple permitted transfers;
- multiple separate charges;
- transactions executed at different times;
- transactions involving multiple participating businesses; or
- other payment structures supported by Easy Split and its payment providers.
The exact payment structure may depend on the merchants involved, jurisdiction, payment method, availability, payment-provider requirements, and the functionality available at the time.
8. Partial Execution
Agent workflows can involve multiple independent transactions.
Accordingly, a workflow may be partially completed.
For example, an Agent may successfully purchase one item or service while another merchant:
- declines the transaction;
- changes its price;
- becomes unavailable;
- rejects the reservation;
- runs out of inventory;
- experiences a technical failure; or
- otherwise cannot complete the requested transaction.
Completion of one transaction does not guarantee completion of every other transaction in the same Agent workflow.
Unless specifically stated otherwise, failure of one component does not automatically reverse, cancel, or refund transactions that were already successfully completed.
9. Prices, Availability and Agent Decisions
Prices, inventory, schedules, merchant availability, delivery times, reservations, exchange rates, taxes, and third-party information may change.
Easy Split does not guarantee that information provided by merchants, Agents, APIs, or other third parties will always be complete, current, or accurate.
Agents may make recommendations, selections, rankings, or purchasing decisions based on available information and user instructions.
We do not guarantee that an Agent will identify:
- the lowest price;
- the best merchant;
- the fastest option;
- every available option;
- the optimal purchase;
- the highest-quality provider; or
- the result that a user would have selected manually.
You remain responsible for the instructions, permissions, and constraints you give an Agent.
10. Agent Service Fee
Easy Split may charge a service fee for Agentic Payments.
Unless a different amount is disclosed before authorization, the current Easy Split Agent Service Fee is 9% of the applicable Agentic Payment amount.
The applicable fee will be presented as part of the transaction or approval flow where required.
The Agent Service Fee compensates Easy Split for providing software infrastructure, Agent execution, payment orchestration, transaction routing, platform services, and related functionality.
The Agent Service Fee is separate from fees that may be charged by:
- Stripe or another payment processor;
- merchants;
- financial institutions;
- card networks;
- currency-conversion providers;
- marketplaces;
- delivery providers;
- third-party APIs; or
- other services participating in the transaction.
We may offer different pricing, promotional pricing, enterprise agreements, subscriptions, negotiated fees, or other fee structures.
11. Connected Businesses and Stripe Connect
Businesses and service providers may be required to establish or connect an account with Stripe or another payment provider to receive payments through Easy Split.
By connecting a payment account to Easy Split, you authorize Easy Split to perform activities reasonably necessary to provide the Services, which may include:
- creating or configuring payment transactions;
- communicating transaction information;
- providing payment instructions;
- routing authorized funds;
- creating transfers;
- requesting payouts;
- obtaining account and transaction information;
- collecting applicable Easy Split fees;
- processing reversals where permitted;
- assisting with refunds or disputes; and
- transmitting information required by the payment provider.
Your use of Stripe services is also subject to the agreements, requirements, policies, and verification procedures imposed by Stripe.
Stripe may independently require identity verification, business verification, beneficial-owner information, bank information, underwriting, reserves, restrictions, or other compliance measures.
12. Payments and Payment Providers
Payment processing is provided by third-party providers such as Stripe.
Depending on the transaction structure, the merchant of record, settlement merchant, seller, or payment recipient may be Organik, a connected business, or another party identified in connection with the transaction.
The applicable transaction and checkout experience may identify the relevant merchant or seller.
Organik is not itself a bank or depository institution.
We do not guarantee that a payment will be:
- authorized;
- captured;
- settled;
- transferred;
- paid out;
- refunded;
- reversed;
- successfully split;
- completed by a particular time; or
- free from fraud, dispute, chargeback, error, or third-party review.
Payment providers may impose their own restrictions, fees, reserves, holds, verification requirements, payout schedules, or transaction limits.
13. Transfers and Payouts
Balances displayed within Easy Split may represent transaction or payment-provider information and do not constitute a bank deposit.
Transfers and payouts may be delayed by:
- payment settlement periods;
- payment-provider reviews;
- identity verification;
- compliance reviews;
- fraud or risk investigations;
- reserves or holds;
- banking schedules;
- weekends or holidays;
- disputes;
- chargebacks;
- technical issues; or
- applicable law.
Estimated payout or settlement times are not guarantees.
14. Refunds, Reversals and Chargebacks
Refunds, disputes, reversals, and chargebacks may affect funds associated with a Store, Agent, merchant, connected account, participant, or transaction.
Where permitted by the applicable payment structure and law, Easy Split may:
- reverse or adjust transfers;
- deduct amounts from available balances;
- deduct amounts from future transactions;
- offset amounts owed;
- delay future transfers or payouts;
- recover amounts associated with refunds, disputes, fraud, errors, or chargebacks; or
- take other reasonable action necessary to reconcile a transaction.
Merchants remain responsible for their obligations to customers relating to the goods and services they provide unless expressly stated otherwise.
15. Taxes and Compliance
You are responsible for determining and satisfying tax, reporting, licensing, regulatory, and compliance obligations applicable to your activities.
These may include:
- sales taxes;
- VAT or similar transaction taxes;
- income taxes;
- business registrations;
- licenses;
- invoices;
- consumer disclosures;
- refund requirements;
- sanctions;
- export controls;
- anti-money-laundering requirements;
- industry-specific regulation; and
- reporting obligations.
Easy Split does not provide legal, tax, investment, accounting, or financial advice.
16. Prohibited Activity
You may not use Easy Split for unlawful, deceptive, abusive, harmful, infringing, or unauthorized activity.
Prohibited uses include, where applicable:
- fraud;
- impersonation;
- theft;
- unauthorized payment activity;
- money laundering;
- sanctions violations;
- evasion of financial or payment-provider rules;
- malware;
- spam;
- harassment;
- illegal goods or services;
- prohibited weapons;
- controlled substances;
- exploitative content;
- illegal gambling;
- activity involving stolen financial information;
- unauthorized financial services; or
- activity prohibited by Stripe, applicable payment networks, platform policies, or applicable law.
We may restrict categories, merchants, Agents, transactions, countries, payment methods, or accounts at our discretion when necessary for legal, compliance, security, payment-provider, or risk reasons.
17. User Content
You retain ownership of content you submit to Easy Split.
You grant Organik a worldwide, non-exclusive license to host, reproduce, process, display, transmit, and otherwise use that content as reasonably necessary to operate, secure, improve, and provide the Services.
You represent that you have the rights required to provide that content and that its use through Easy Split does not violate law or third-party rights.
18. Third-Party Services
Easy Split may interact with third-party services, including payment providers, merchants, marketplaces, APIs, cloud infrastructure, analytics providers, identity providers, operating-system services, browsers, and device features.
We do not control third-party services.
We are not responsible for their:
- availability;
- pricing;
- products;
- actions;
- omissions;
- security;
- policies;
- decisions;
- accuracy;
- performance; or
- content.
Use of a third-party service may be subject to separate terms between you and that provider.
19. Intellectual Property
Organik and its licensors own Easy Split, including its software, designs, trademarks, logos, documentation, systems, interfaces, and other proprietary materials.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use Easy Split for its intended purposes.
No rights are granted except those expressly stated in these Terms.
20. Privacy and Security
Our Privacy Policy explains how we collect, use, and disclose information.
We use reasonable administrative, technical, and organizational safeguards, but no internet or payment system can be guaranteed to be completely secure.
You are responsible for protecting:
- your devices;
- account credentials;
- recovery methods;
- API credentials;
- payment credentials;
- third-party accounts; and
- Agent permissions.
If you believe your account or Agent has been compromised, you should disable relevant access and contact us promptly.
21. Suspension and Termination
We may suspend, restrict, limit, or terminate access to all or part of Easy Split when we reasonably believe doing so is necessary because of:
- violation of these Terms;
- suspected fraud;
- security risk;
- payment risk;
- regulatory requirements;
- third-party provider requirements;
- sanctions;
- harmful activity;
- excessive disputes or chargebacks;
- inaccurate verification information; or
- operational or technical necessity.
You may stop using Easy Split at any time.
Termination does not eliminate obligations relating to transactions, fees, refunds, disputes, chargebacks, taxes, or amounts incurred before termination.
22. Changes to the Service
Easy Split is an evolving product.
Features, Agents, integrations, pricing, APIs, payment flows, limits, and functionality may change over time.
We may release experimental, preview, beta, or early-access features.
Such features may be modified or discontinued and may contain errors or limitations.
23. Disclaimers
Easy Split is provided "as is" and "as available."
To the maximum extent permitted by applicable law, Organik disclaims all warranties, express or implied, including warranties of:
- merchantability;
- fitness for a particular purpose;
- title;
- non-infringement;
- accuracy;
- availability;
- uninterrupted operation;
- security; and
- error-free performance.
We do not guarantee any particular commercial, financial, legal, tax, accounting, operational, or Agent-generated outcome.
24. Limitation of Liability
To the maximum extent permitted by applicable law, Organik, Inc. and its directors, officers, employees, contractors, agents, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, revenue, business, or opportunity.
To the maximum extent permitted by law, our aggregate liability for claims arising from or relating to Easy Split will not exceed the greater of:
US $100, or
the amount you paid directly to Organik for Easy Split during the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded.
25. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Organik, Inc. and its directors, officers, employees, contractors, agents, affiliates, and licensors from claims, liabilities, damages, losses, costs, and expenses arising from or relating to:
- your use of Easy Split;
- your Store;
- your Agent;
- permissions you grant to an Agent;
- your products or services;
- transactions you authorize;
- your customers;
- your content;
- your taxes;
- your disputes;
- your connected payment account;
- your violation of these Terms;
- your violation of applicable law; or
- your violation of third-party rights or rules.
26. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.
Any mandatory rights available to consumers under applicable law remain unaffected where they cannot legally be waived.
27. Changes to These Terms
We may update these Terms periodically.
When we make changes, we will post the revised Terms and update the effective date.
Where legally required, we will provide additional notice.
Continued use of Easy Split after revised Terms become effective constitutes acceptance of the updated Terms.
